Corporate Governance
Gilat Satellite Networks Ltd. and its subsidiaries (known as Gilat or the Group) are committed to strengthening its corporate management system through the ongoing development of effective corporate governance that is both sound and transparent. We also work to continually upgrade and reinforce our compliance system in order to ensure that we conduct business in a manner which is legal and fair. Our corporate governance policies are detailed in the following documents:
Employee Wellbeing
Employee Health and Safety
Gilat aims to improve its employees work environment, contributing to their well-being and personal development and sees great importance in maintaining their health and safety at all time, thus making Health, Safety and Environment (HSE) an integral part of our business decisions. Gilat has zero tolerance to violence, sexual harassment and any kind of practice which may affect its employees or other business partners health and safety. Our commitment to health and safety is also outlined in our Health, Safety and Environment (HSE) Policy that applies to all Gilat employees, products, and service.
We provide our employees with a safe and healthy workplace in compliance with all applicable laws and regulations. We ensure that our facilities and offices are all safeguarded and compliant with all applicable standards and continuously monitor such compliance.
Our employees undergo periodic safety training and procedure guidance ensuring their awareness of risks and providing means for mitigations, including when travelling and working at remote sites.
We are committed to work according to the ISO14001:2015 and ISO 45001:2018 standards.
We maintain a Disaster Recovery Plan that provides alternatives in cases of emergency to our manufacturing facilities and hubs, as well as to various suppliers.
We strive to operate in a manner minimizing any HSE risk to our customers or to the public and use all appropriate tools, materials, personal protective equipment, and environmental safeguards correctly.
Personal Development, Internal Communication, Feedback
To ensure that our commitments and standards regarding human rights and health and safe labor practice are maintained, we apply the following:
Regularly scheduled discussions throughout the year to provide an opportunity for managers to meet with each employee to talk about their objectives, provide feedback from colleagues, identify training needs, and talk about their workload.
An Open-Door policy to management including by holding “round table” sessions with employees around the world to enable open dialogue.
Performing surveys to allow employees to have their voice heard on various issues related to the workplace and environment, (sometimes anonymously), in order to build corrective action plans based upon feedback.
Our Code of Ethics includes a whistle blower policy which provides an anonymous means for employees to communicate with various bodies within our company, including our Audit Committee. Therefore, in the event an employee is concerned about any actual or suspected misconduct or violations, including with respect to accounting, auditing, internal control procedures or legal compliance, he/she may contact directly the Company’s Compliance Officer or the Company’s Internal Auditor or the Chair of the Audit Committee of the Board of Directors of the Company, in order to report any such actual or suspected misconduct or violations in person, or by letter sent through the Company’s internal mail, or through designated anonymous email addresses.
Encouraging employees to local and international internal mobility within the groups’ subsidiaries.
Offering training sessions to maintain every employee’s expertise, helping them to adapt their individual and collective skills to changing job roles while supporting the Group’s strategic goals. Training is also in charge of managing the Digital Learning portal, a user-oriented interface available to all Group employees which offers customized experiences and tracks the user’s learning progress.

Diversity & Inclusion
Gilat is committed to protecting human rights. It acknowledges the importance of promoting an inclusive and safe work environment for all. We conduct our business without infringing on human rights and firmly condemn any kind of modern slavery or human trafficking.
Gilat believes in the value of all human beings and their fundamental human rights as reflected in the Universal Declaration of Human Rights 1948 and in the UN’s Guiding Principles on Business and Human Rights. Gilat’s human rights commitment is further guided by internationally recognized principles and by all the laws applicable to its business activities worldwide.
In addition to this policy, Gilat’s commitment to human rights and fair labor practice is also outlined and referenced in other internal corporate documents: Code of Ethics, Gilat Policy Prohibiting Bribery and Corruption and Conflict Minerals Policy (which can be found under Corporate Governance.) Gilat expects its stakeholders, including employees, and management to comply at all times with the Code of Ethics and the Policy Prohibiting Bribery and Corruption, and both documents are formally approved and signed each calendar year by all employees and management, as well as other corporate policies as applicable for each region or sector of employees.
Our commitment to promoting human rights and fair labor standards includes the following aspects:
1. Prohibiting Child Labor – Avoiding child labor practices and complying with the minimum age laws and regulations in each jurisdiction in which Gilat operates.
2. Prohibiting Forced Labor – Ensuring that at all times, the terms of employment are voluntary and of a free choice and avoiding compulsory, bonded or coercive labor and modern slavery practices.
3. Non-Discrimination, Diversity and Harassment Prevention- As a leading global company in its field, Gilat promotes a multicultural business approach and strongly believes that equality and diversity not only empower our employees but also help our company to grow and succeed. In line with our approach, Gilat prohibits any kind of discrimination based on color, race, gender, age, sexual orientation, ethnicity, religion, family status, political affiliation or disability. We are committed to inclusion throughout the employment process including recruitment, employment and, when necessary, dismissal or termination of employment for any reason.
Gilat recognizes the importance of diversity, and its contribution to the company’s business as a global company operating in 18 countries. As our projects often involve employees from multiple countries bringing different perspectives and points of view, we see this multicultural diversity as part of our strength. Gilat encourages equal opportunities for all and actively endorses recruiting people from various backgrounds to increase the diversity of employees within the company.
• We are proud to employ team members with different types of disabilities and we also engage with Taasuka Shava (an equal employment opportunity organization for people with disabilities in Israel), utilizing their experience in offering relevant open positions to employees with different types of disabilities. Our HR Department also takes part in different Taasuka Shava workshops providing the knowledge and tools to increase the integration of employees with disabilities in the company.
• In addition, we partner with different associations in order to promote a diverse culture, mainly for hiring purposes in the tech field, such as She Codes (Women); Tech Career (Ethiopian community); GRTH (for the orthodox community); and Co-Impact (for the Arab sector) in Israel. For our subsidiary in US we also publish in job boards that are dedicated to minorities.
• Commitment to diversity equality is also reflected in Gilat’s efforts to attract young graduates and interns, including by creating partnerships with educational institutions for the employment of juniors and apprentices, and at the same time, Gilat strives to maintain a wide representation of ages among its employees, believing in the benefits of combining the complementary experiences and perspectives of different generations.
4. Fair Compensation and Hiring Practices- Gilat compensates its employees with fair salaries and full social benefits. Employees are provided competitive and legally applicable social benefits such as annual leave that significantly exceed those mandated by law, as well as health benefits, retirement plans and other benefits intended to meet the specific needs of different employees. We review the compensation packages of our employees on an annual basis to ensure that each employee is appropriately compensated to reflect his or her performance, experience and professionalism. Gilat maintains a global and responsible compensation policy that gives employees a stake in the group’s results and rewards their efforts and commitment.
5. Work Life Balance – In order to maintain work-life balance, we allow flexibility of working hours and working from home. In addition, we enforce the limitation on working hours in accordance with all local laws in the regions we operate.
6. Freedom of Association – We acknowledge employees legal right, where applicable, to the freedom of association and collective bargaining. Where local law permits, employees can join unions or other work councils without retaliation or discrimination. Where unions are restricted by local laws, employees should not be restricted from working collectively to protect their rights.
7. Personal Information Privacy – We respect employees’ and customers right for privacy and committed to securing their personal data in accordance with our Privacy Policy and applicable laws. Our employees are required to maintain confidentiality when dealing with third parties and follow our internal policy for use of information and data.
Covid-19: Safety, Security and Supporting Employees During the Pandemic.
8. During the Covid-19 pandemic, starting in March 2020, we supported our employees worldwide, enabling them to work remotely from home during lockdowns or local outbreaks, and provided a safe office environment when returning, in accordance with Covid-19 guidelines.
For example, in HQ offices in Israel we adjusted our offices and dining rooms to meet the new restrictions and government regulations (Tav Sagol) and needs for sterilization including securing distance between workstations and providing hand sanitizers, masks and gloves. We communicated to the employees all the restrictions and precautions that the company took to protect them and keep them safe. We invested a lot of time and effort to raise awareness among employees to use their masks properly in public areas, during meetings, etc. We also adopted the restricted green pass (Tav Yarok) allowing only vaccinated, Covid -19 recovered employees (and those who were tested for Covid on a weekly basis), vendors and suppliers access to the offices thus protecting our employees from Covid-19 and preventing its spread.

Environment
As the worldwide leader in satellite networking technology, solutions and services, we at Gilat Satellite Network Ltd. (“Gilat” or “we”) recognize the increasing urgency and importance of protecting the environment and fighting climate change. We therefore take actions that may contribute to the sustainability of the world’s resources and environment.
Gilat‘s environmental impact is related to our products, services and facilities, and we make efforts to act responsibly, considering our community and the world we live in, aiming that our activities will be as sustainable as possible. We strive to increase our knowledge in order to act beyond compliance and become a leader in the environmental sustainability field.
Our efforts to minimize the impact of our activities on the environment encompass the following activities in our Israel Headquarters’ offices:
Annual assessment
– We conduct a yearly assessment on our activities in order to examine the main environmental impacts of our activities and products in terms of air pollution, soil/water contamination, hazards materials, awareness of our employees to environmental related issues, evacuation of hazards materials, environmental monitoring – radiation.
– Part of our assessment includes a mitigation strategy in topics where there is a place for improvements. We also expect our suppliers/subcontractors that build and/or otherwise manufacture our products to comply with relevant environmental obligations.
Energy efficiency and renewable energy use in data centers
– We migrated major part of the physical servers we used for storing our ERP and other business applications in our IL data centers, to virtual servers’ platform. Such migration enabled us to reduce energy consumption, respectively.
Recycling of devices and appliances
– Our IT equipment is dismantled, and reusable components kept aside for future use. All other parts which are not required and/or operative, are dispatched to suitable specialist recycling companies in IL who operate proper environmental policies.
Our Commitments and Goals
Gilat is committed to reducing its environmental impact throughout the lifecycle of our products, starting with our suppliers, through our product, operations and finally with our clients.
Gilat has launched a green office practice in its Headquarters’ offices in Israel, which includes the following, all – as part of our commitment to sustainable future for our generation and the generations to come:
– We support the conservation of natural resources of our offices, such as materials, energy and water. As part of our sustainable approach, we aim to reduce consumption of water, electricity, paper and non-disposable utensils by using energy efficient systems and/or tools, and we seek for other sustainable alternatives.
– We support a circular economy and adopt waste reduction strategies, reuse and recycling. We have reduced the use of paper and plastic and switched to recycled or managed forest paper and reusable options wherever possible.
– We are committed to green office practices during the process of procurement of office supplies and facility management.
– We participate in an industry zone administration, in collaboration with the municipality, in order to raise awareness for environmental related issues in companies and/or industrial zones within the city’s area.
– We are committed to reducing our carbon footprint by reducing our energy consumption, and we plan to seek renewable energy sources in order to reduce GHG emissions in the long run.
– We are planning to move additional data centers to a cloud platform. By doing so, we will be able to reduce the use of hardware, and consequently reduce electronic waste.
Employee Engagement
Our efforts in our Israel Headquarters’ offices in order to increase awareness between our employees, encompass the following:
– We expect our employees to be engaged in our sustainability efforts, make careful use of resources, joining our recycling and other sustainability activities and inspire them to identify and raise opportunities for continuous improvement.
– We address environmental challenges in our operations through various responsible means and ask our employees to take part in using them.
– We are committed to a working environment which fits our general environmental commitments and therefore adopted Green Office Practices:
– We provided recycled paper in our printers and encouraging employees to reduce printing in order to reduce waste.
– We provided our employees with reusable personal bottles, mugs and cutlery in order to reduce consumption of disposable dishes. We encourage our employees to separate waste using recycling bins placed in corporate facilities.
– We recycle electronic waste and tuners.
– We inspire employee conscientiousness in support of the environment and encourage ideas and suggestions for improvements. From time to time, we invite employees to webinars covering in these topics. New employees go through training regarding our recycling activities
Suppliers Engagement
– We expect our suppliers to engage in environmental management practices and to comply with our environmental requirements and policies, as we issue from time to time.
– Based on our yearly environmental management plan, we audit certain suppliers on a periodic basis, check their certifications (if any) and their compliance with certain environmental related requirements.
Governance
Our daily operations and decision-making processes take into consideration environmental care and sustainability. Our commitment involves, inter alia:
– Closely monitoring our compliance with local and international regulatory requirements in all of our locations around the world.
– As an integral part of our ISO 14001:2015certification, we inter alia monitor our environmental performance by defining a list of KPIs, and we implement a yearly environmental management plan, according to which we audit our suppliers on a periodic basis.
– Gilat complies with the following applicable standards and regulatory requirements.
– We uphold the following standards:
ISO 14001:2015for maintaining an Environmental Management System;
ISO 45001:2018for maintaining Occupational Health and Safety Management Systems.
– We comply with applicable product-related environmental and social regulations such as:
– The EU regulation RoHS on the restriction of use of hazardous substances in electrical and electronic equipment; and
– Conflict minerals requirements according to Section 1502 of the Dodd- Frank Wall Street Reform and Consumer Protection Act.
Future improvements
We will be transparent on our actions, and shall further set environmental sustainability goals and objectives, in order to continuously improve our environmental sustainability efforts and to reduce our footprint in the scope of our activities.
Scope
Our environmental policy applies to Gilat’s management, employees and suppliers.
This policy will be reviewed and approved by Gilat’s Chief Operating Officer on a bi-annual basis, and may updated from time to time, as needed.

Social
We understand that businesses can achieve substantial long-term benefits from being socially responsible. We believe that improving the quality of life, not only of our employees but also of our global communities, is both our responsibility as well as a critical factor of our success.
To that end, we participate in different programs that serve diverse communities that can greatly benefit from our support. A few examples of the programs we support include:
We work with an organization called Helpi. Helpi’s digital platform enables our employees to volunteer when, how and for as long as they wish, without a long-term commitment. The platform allows our employees to find the most suitable community in which to volunteer in an easy and accessible way. Through Helpi, thousands of citizens can get the help they need.
Once every quarter we run a donation drive. Employees can donate various items such as books, toys, personal hygiene product and clothing, which in turn are delivered to various needy organizations and associations.
We also participate in Good Deeds Day, a global movement of people who are dedicated to doing good. Since 2007, millions of people and thousands of organizations from over 108 countries have united each year to volunteer. Each of our offices chooses the project or organization they wish to support each year.
During different holiday seasons around the world we reach out to numerous NGOs to volunteer and make donations (such as gifts for underprivileged children, food drives and more.)
We also purchase some of our employee holiday gifts from organizations which in turn donate the money to different causes.
In the near future, we plan to initiate a new philanthropic opportunity for our Corporate HQ employees. By participating in the ‘Round Up’ program, employees will be able to make small micro payment donations via their paycheck each month.
In addition to all the activities above, we encourage employees to volunteer in their communities and support causes that are close to their hearts.
